All businesses should have the following documents in a corporate kit. This is merely a collection of documents held together in a looseleaf notebook or in a more formal corporate document holder, available from a supplier of law products.
The following should be included in the corporate kit:
- Articles of incorporation;
- Amendments to the articles of incorporation;
- Minutes of the stockholders' and board of directors' meetings;
- Bylaws of the corporation;
- List of the corporation's shareholders;
- Corporate secretary's affidavit of verification of corporate shares of stock;
- All directors' resolutions;
- All stockholders" resolutions;
- Record of dividends;
- Outstanding loans;
- Contracts;
- Ledgers including accounts receivable, accounts payable, and general inventory;
- Insurance policies;
- Resolutions regarding salaries and bonuses of top executives;
- Employment contracts and agreements;Stock option plans;
- Medical-dental expense plans;
- Verification of citizenship or right to work according to the Immigration and Reform Control Act (IRCA) of 1986.
